Welcome to On the Grid ("On the Grid," "Company," "we," "our," or "us").
These Terms of Use ("Terms") govern your access to and use of the On the Grid mobile application, website, and related services (collectively, the "Service").
By creating an account or using the Service, you agree to these Terms and our Privacy Policy.
If you do not agree, do not use the Service.
PLEASE READ: These Terms contain a binding arbitration provision and a class-action/jury-trial waiver that affect your legal rights.
1. ACCEPTANCE OF TERMS
By using On the Grid, you affirm that:
- You have read, understood, and agree to be bound by these Terms and our Privacy Policy.
- You are legally capable of entering into a binding agreement.
- You meet the eligibility criteria outlined below.
We may modify these Terms at any time. If substantial changes are made, we will notify you through in-app messages, email, or other means. Continued use of On the Grid after such changes constitutes acceptance of the updated Terms.
2. ELIGIBILITY
To access On the Grid, you must:
- Be at least 18 years old or the age of majority in your jurisdiction, whichever is higher.
- Not have been previously suspended or banned by On the Grid.
- Not be a registered sex offender or have convictions related to violence, abuse, harassment, stalking, fraud, human trafficking, kidnapping, child abuse, domestic violence, hate crimes, or terrorism.
- Not use On the Grid for commercial, fraudulent, or unlawful purposes.
We reserve the right to reject, block, or terminate accounts at our sole discretion without prior notice or liability.
3. ACCOUNT REGISTRATION & SECURITY
You agree to:
- Provide accurate and truthful information when creating your account.
- Safeguard your login credentials and not share your account with others.
- Notify us immediately at support@dateongrid.com if you suspect unauthorized access or account compromise.
You are responsible for all activity that occurs under your account. We are not liable for unauthorized access resulting from your failure to secure your credentials.
4. SUBSCRIPTIONS, PURCHASES & PAYMENTS
Payment Terms
Some features of On the Grid may require a paid subscription or one-time purchase. Payments are processed via Apple and billed on a weekly, monthly, or tri-monthly basis.
Pricing, billing cycles, and feature details are shown in-app.
By subscribing, you authorize On the Grid to charge your selected payment method for recurring fees until you cancel.
Cancellation & Refunds
You can cancel your subscription at any time via Apple's subscription management page. Payments are non-refundable, but you will retain access to paid features until your current billing cycle ends. Refunds are only provided where required by law.
5. USER CONDUCT & COMMUNITY GUIDELINES
To maintain a safe environment, you agree not to, and not to assist others to:
- scrape, crawl, spider, harvest, or use bots/automation to access the Service;
- reverse engineer, decompile, or attempt to derive source code;
- bypass access or rate limits, interfere with stability, or compromise security;
- copy, modify, or create derivative works of the Service;
- benchmark or use the Service to build a competing product;
- impersonate others or misrepresent identity;
- solicit money, gifts, or sensitive personal data;
- post or transmit illegal, hateful, discriminatory, harassing, threatening, or sexually explicit content;
- upload content you do not own or lack rights to;
- violate laws or others' rights (privacy, publicity, IP).
We may suspend or terminate your account without notice for violations of these Terms or our Community Guidelines.
6. USER-GENERATED CONTENT, MODERATION & ZERO-TOLERANCE POLICY
On the Grid allows users to create, upload, share, and interact with content, including profiles, messages, photos, venue selections, and other media ("User-Generated Content").
Zero Tolerance Policy. On the Grid has zero tolerance for objectionable content or abusive users and behavior. This includes, but is not limited to:
- harassment, bullying, threats, or intimidation;
- hate speech, discrimination, or content targeting protected classes;
- sexually explicit, pornographic, or sexually exploitative material;
- violence, self-harm, or encouragement of illegal activity;
- impersonation, scams, fraud, or deceptive practices.
Moderation & Enforcement. We reserve the right, at our sole discretion and without prior notice, to:
- review, monitor, remove, or restrict any User-Generated Content;
- suspend, restrict, or permanently terminate accounts;
- report unlawful behavior to law enforcement where required or appropriate.
Enforcement actions may be taken for violations of these Terms, our Community Guidelines, or applicable law.
User Responsibility. By using the Service, you acknowledge that you may be exposed to User-Generated Content that you find offensive or objectionable, and you agree that On the Grid is not responsible for such content.
Agreement Required. By creating an account or using the Service, you expressly agree to comply with this zero-tolerance policy and acknowledge that violations may result in immediate removal of content or termination of your account.
7. "On the Grid" FEATURES
On the Grid is an interactive platform designed to help users connect through shared venues, interests, and social experiences. The Service combines discovery, matching, planning, and social content functionality to make it easier to meet people and explore places across your city.
Key features include: Shared Places & Matching: Users can browse venues, save favorites, and match with others who have liked the same places. Connections & Messaging: Users can send, receive, and accept connection requests, which unlock in-app chat and allow direct coordination. Venue & Event Integrations: On the Grid may surface nearby events, pop-ups, or experiences through trusted partners (including ticketing or reservation platforms) to help users discover what's happening in real time. Content & Media Sharing: Users may view, post, or import short-form videos, photos, or other media related to venues or experiences, whether created on On the Grid or imported from third-party platforms such as Instagram or TikTok.
You acknowledge that:
- Some shared content or media may originate from other users, venues, or partner integrations.
- On the Grid does not verify or endorse third-party content, events, or venues and makes no guarantees about their accuracy, availability, or safety.
- You should not upload or distribute any media, venue information, or third-party material unless you have the legal right to do so.
- Content you share (including venue selections, media, and messages) may be visible to other users according to your privacy and visibility settings.
We reserve the right to remove, limit, or moderate content or accounts that violate these Terms, our Privacy Policy, community guidelines, or applicable law.
Service Data ("User Data")
We collect data about your use of the Service (account, device, engagement, and interaction data).
Aggregated or de-identified data derived from this information belongs to On the Grid and may be used to operate, secure, analyze, and improve the Service, consistent with our Privacy Policy.
8. BACKGROUND CHECKS & SAFETY
On the Grid does not conduct comprehensive background checks and makes no guarantees about any user's identity or behavior.
You are solely responsible for your interactions on and off the platform.
Exercise caution and follow community safety guidelines.
We may—but are not required to—monitor or restrict interactions for safety.
9. USER CONTENT & LICENSE
You retain ownership of content you create, post, or share ("User Content").
You grant On the Grid a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use, host, store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and display your User Content in connection with operating, promoting, and improving the Service.
You represent that you own or have rights to all User Content and necessary consents.
We may moderate, remove, or restrict content at our discretion for violations of these Terms or applicable law. Deleted content may persist in backups or where others have shared it.
Third-Party Partners & Integrations
The Service may integrate with booking, event, payment, analytics, or communication partners.
These third parties operate under their own terms and privacy policies.
Your dealings with them are solely between you and the third party.
We are not liable for third-party acts, omissions, or services.
10. MARKETING & COMMUNICATIONS CONSENT
By creating an account, you consent to receive communications from On the Grid, including:
- Transactional messages (e.g., account updates, matches, or security notices)
- Promotional and marketing messages (e.g., feature launches, events, venue updates, or partner offers)
These communications may be sent via email or SMS.
You can opt out of promotional messages at any time by following the instructions in the message (e.g., "unsubscribe" or "STOP"). Opting out does not affect essential transactional communications.
11. PRIVACY & DATA USAGE
Your use of On the Grid is subject to our Privacy Policy, which explains how we collect and process your data.
By using On the Grid, you consent to our data practices, including communications and marketing as described in that Policy.
12. TERMINATION & ACCOUNT DEACTIVATION
We may suspend or terminate your account at any time without notice for violating these Terms, engaging in harmful behavior, or fraudulent activity.
You may voluntarily delete your account at any time via account settings.
Some data may be retained as required by law or for legitimate business purposes, such as fraud prevention or compliance.
Mobile Applications & App-Store Terms
We grant you a revocable, non-exclusive, non-transferable license to use the mobile app on devices you own or control.
The app may auto-update.
If obtained from an app store, your use is also subject to that store's terms.
The store provider is not responsible for the app; we are.
13. Changes to the Service
We may modify, suspend, or discontinue any part of the Service at any time without liability.
Your continued use after changes constitutes acceptance.
14. Intellectual Property & Feedback
Except for your User Content, the Service and all related materials (software, design, text, graphics, logos, etc.) are owned by On the Grid or its licensors.
You may not use them without permission.
If you submit feedback or ideas, you grant us a perpetual, royalty-free right to use them without obligation.
15. Privacy
Your use of the Service is subject to our Privacy Policy, which explains our data practices, including location, device, usage, and communication data.
16. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.
We do not control or guarantee user or third-party content, venues, events, matches, or outcomes.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ON THE GRID AND ITS AFFILIATES ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL.
OUR TOTAL LIABILITY WILL NOT EXCEED USD $100 OR THE AMOUNT YOU PAID IN THE PREVIOUS SIX MONTHS, WHICHEVER IS GREATER.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME PROVISIONS MAY NOT APPLY.
18. Indemnification
You agree to defend, indemnify, and hold harmless On the Grid, its affiliates, officers, directors, employees, and agents from all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms or law.
19. Dispute Resolution & Arbitration Agreement
Before filing a claim, contact legal@dateongrid.com and allow 60 days for informal resolution.
If unresolved, any dispute shall be finally resolved by binding arbitration administered by JAMS under its Streamlined/Expedited Rules in New York, New York.
Either party may seek injunctive relief in court to protect intellectual property or data security.
Small-claims actions may proceed in court.
CLASS ACTION / JURY TRIAL WAIVER: All claims must be brought individually; no class, collective, or representative actions.
You and On the Grid waive any right to a jury trial.
Opt-out: Email legal@dateongrid.com within 30 days of acceptance to opt out of arbitration.
20. Governing Law & Venue
These Terms are governed by the laws of the State of New York, excluding conflict-of-law rules.
For disputes not subject to arbitration, you consent to exclusive jurisdiction in the state or federal courts of New York County, NY.
21. International Use & Export Controls
The Service is controlled from the United States.
You are responsible for complying with local laws and U.S. export controls/sanctions.
You may not use the Service if you are on U.S. government restricted lists or in embargoed regions.
22. Notices & Changes to Terms
We may provide notices by email, SMS, in-app messages, or posts within the Service.
We may update these Terms periodically; the "Last Updated" date reflects the current version.
Material changes will be communicated via reasonable means.
Your continued use constitutes acceptance of updated Terms.
23. Assignment
You may not assign or transfer these Terms without our prior written consent.
We may assign them without restriction (including merger, acquisition, or sale of assets).
24. Entire Agreement; Severability; Waiver
These Terms, together with referenced policies, constitute the entire agreement between you and On the Grid.
If any provision is held invalid, the remaining provisions remain in full force.
Our failure to enforce any right or provision is not a waiver.
25. Promotions & Referrals
Promotions, contests, or referral programs may include additional terms that will govern in the event of conflict with these Terms.
